Mutual Non-Disclosure & IP Protection

1. Confidential Quantitative Information Defined

"Confidential Information" encompasses all proprietary trading logic, mathematical formulas, parameter sets, backtesting datasets, entry/exit algorithms, custom indicators, and uncompiled MQL5 source code (.mq5, .mqh, .cpp) disclosed by the Client to Algoteknik during technical scoping and development.

2. Absolute Non-Disclosure & Non-Use Mandate

Algoteknik undertakes to maintain all Client information under strict confidence. Specifically:

• Algoteknik will never trade, copy, or deploy the Client's proprietary logic on internal, personal, or third-party accounts.
• Confidential Information will not be disclosed to any external contractor, cloud AI model, or unauthorized third party.
• Access is restricted solely to the dedicated Senior MQL5 Architect assigned to the project.

3. 100% Intellectual Property (IP) Ownership Transfer

Upon final milestone settlement, all customized MQL5 software, compiled libraries, source code, and associated documentation become the exclusive intellectual property of the Client. Algoteknik claims zero residual rights, royalties, or licensing claims over custom-built algorithms.

4. Air-Gapped Secure Engineering Environments

All custom algorithmic compilation is conducted within isolated, encrypted hardware environments with strict access controls. Client source files are stored on encrypted offline storage volumes and permanently expunged upon formal project sign-off upon request.

5. Non-Circumvention & Decompilation Prohibition

Algoteknik covenants never to decompile, reverse-engineer, derive trade secrets from, or circumvent the Client's commercial business relationships in connection with any algorithmic technology disclosed.
